About the Role

The Company is in search of a Senior Vice President, Deputy General Counsel, Corporate Legal, M&A, and Assistant Corporate Secretary to take on a pivotal leadership role. The successful candidate will be responsible for leading corporate legal, M&A, and corporate governance during a time of heightened focus on board effectiveness, public company governance, securities compliance, and strategic transaction execution. This highly visible, board-facing position requires oversight of corporate governance, support for the Board of Directors and its committees, and management of M&A and divestiture activities.

The role also involves ensuring compliance with securities laws and NYSE requirements, leading corporate filings, and serving as a trusted advisor to executive leadership on a range of legal and governance matters. Applicants must have a J.D. and active bar membership, with a minimum of 15 years' legal experience, including significant M&A, corporate finance, treasury, and public company securities/governance experience. Deep knowledge of U.S. securities laws, SEC reporting requirements, and NYSE or comparable exchange listing standards is essential.

The ideal candidate will have a proven track record in leading M&A transactions, supporting a public company Board of Directors, and managing a legal team. Exceptional judgment, discretion, and the ability to operate effectively with senior executives are required. The role is based in Jacksonville, Florida, and may involve occasional travel for business needs.
