Job description & requirements

Dartmouth Partners are partnered with a high growth PE backed industrials business that are looking for a corporate development associate to contribute to the evaluation and execution of M&A opportunities and strategic initiatives; including acquisitions, investments, divestitures, and strategic projects & partnerships for the business.

Responsibilities:

Deal preparation & sourcing – identify potentially relevant target companies based on defined acquisition criteria

  • Support creation and regular updates of strategic M&A goals and alignment with company objectives
  • Curate and regularly update list of criteria
  • Conduct market research and competitive analysis to identify potential targets
  • Monitor industry trends and provide insights to inform decision-making
  • Bring relevant targets to management team for consideration
  • Build and maintain relationships with external partners and advisors

Deal Process

  • Manage all process documentation e.g. NDA, obtaining CIM, LOI etc.
  • Review CIM and other materials and provide executive summaries and recommendations
  • Create initial outside-in hypothesis and align with business on key value drivers and risk areas
  • Support due diligence on target companies and support compilation of required output (with external advisors as appropriate)

Financial modelling and analysis

  • Perform detailed financial analysis - develop comprehensive valuation and synergy models to calculate value of acquisition target and size of transaction
  • Perform sensitivity analyzes to assess changes in the value of the acquisition target across a variety of scenarios (macro-economic and commercial variables)
  • Conduct detailed quantitative and qualitative analysis supporting business case development

Transaction support

  • Own preparation and presentation of investment recommendations to Executive Team
  • Participate in financial and commercial negotiations with counterparties on behalf of the organisation as part of potential transactions

Execution Support (10%)

  • Support business in creation of integration plans and ensure owners
  • Run hand-over session with business owners
  • Set up post acquisition tracker to monitor achievements compared to investment case

Core Competencies

Job Related:

  • Strong valuation knowledge and strong understanding of financial and accounting principles
  • Ability to execute financial modeling efforts at a high level, and ensuring consistent quality and accuracy of analysis
  • Rigorous analytical skills - including valuation analysis, performing competitive research and benchmarking, market segmentation and sizing
  • Progressive experience in top-tier investment banking, private equity, or corporate development roles, with a focus on the industrial/manufacturing sectors
