Job Description
Position Overview
We are seeking a detail-oriented and organized Transactional Paralegal / Legal Assistant to support attorneys in handling a variety of corporate and commercial transactions. This role involves drafting and reviewing legal documents, managing closing processes, and maintaining corporate records. The ideal candidate is proactive, highly organized, and comfortable working in a fast-paced legal environment.
Key Responsibilities
- Assist attorneys with all aspects of transactional matters, including mergers and acquisitions, corporate governance, financing, and contract management
- Draft, review, and proofread legal documents such as agreements, resolutions, and corporate filings
- Prepare and organize closing documents, including checklists, signature pages, and binders
- Conduct due diligence, including reviewing corporate records, contracts, and regulatory filings
- Maintain and update corporate records, minute books, and entity management systems
- Coordinate filings with state and federal agencies
- Communicate with clients, opposing counsel, and third-party vendors as needed
- Track deadlines and manage calendars related to transactions and filings
- Assist with post-closing tasks, including document organization and compliance tracking
- Filing corporate documents with various Secretaries of State Offices and filing regulatory compliance documents with the SEC.
Qualifications
- Associate’s or Bachelor’s degree preferred; Paralegal certificate is a plus
- 5+ years of experience in transactional law (corporate, real estate, or finance preferred)
- Strong understanding of legal terminology and document structure
- Proficiency in Microsoft Office (Word, Excel, Outlook); experience with legal software is a plus
- Excellent organizational, communication, and time-management skills
- High attention to detail and ability to manage multiple priorities
- Ability to work independently and as part of a team
Preferred Skills
- Experience with entity formation and corporate governance matters
- Familiarity with due diligence processes and data rooms
- Knowledge of filing requirements with Secretary of State offices
- Experience with contract lifecycle management tools
