Corporate Paralegal
Norwalk, CT (hybrid)
Position Overview
We are seeking a detail-oriented and proactive Corporate Paralegal to join our corporate practice group in Norwalk, CT. The ideal candidate will provide comprehensive support to attorneys on a wide variety of business and transactional matters, including entity formation, governance, compliance, and due diligence.
Key Responsibilities
- Draft, review, and file corporate documents including incorporation/formation documents, bylaws, operating agreements, annual reports, and board/shareholder resolutions.
- Manage entity formations, qualifications, mergers, dissolutions, and other corporate filings with state and federal agencies.
- Conduct legal research and maintain corporate compliance for a portfolio of clients.
- Assist with due diligence for mergers, acquisitions, financings, and other transactions.
- Organize, maintain, and update corporate records, stock ledgers, and minute books.
- Support attorneys in preparing for closings, including drafting checklists and compiling signature pages.
- Liaise with clients, opposing counsel, and government agencies to ensure timely and accurate document filings.
- Monitor deadlines and filing requirements to ensure compliance with applicable laws and regulations.
Qualifications
- Bachelor's degree and/or Paralegal Certificate from an ABA-approved program required.
- 2-3+ years of experience.
- Strong knowledge of corporate governance, entity management, and transaction support.
- Excellent organizational skills with the ability to manage multiple priorities.
- Strong written and verbal communication skills.
- High attention to detail, accuracy, and deadlines.
- Proficiency with MS Office Suite and entity management software (e.g., CSC, Diligent) a plus.
