The company exceeds stipulated CSR norms, with founders personally matching the company's contributions for various initiatives.For more information about Integra, please visit: Job Description: Head of Legal & Compliance (DGM / GM) Position Title: Head of Legal & Compliance (DGM /General Manager)Location: Chennai/PondicherryCompany: Integra ()Reports To: Co -Founder, JMD Role Overview: The Head / GM - Legal & Compliance will be responsible for leading the organization's legal strategy, contract governance, and compliance framework across geographies. This role requires a strong blend of strategic leadership and hands-on expertise in managing complex IT/ITES legal matters, ensuring regulatory compliance, and mitigating organizational risk. A key expectation from this role is the ability to front-end customer-facing legal discussions and negotiations, especially for enterprise contracts, and act as a strong business partner to internal stakeholders.
Key Responsibilities: 1. Legal Strategy & Advisory• Act as a strategic legal advisor to senior leadership on business decisions, risk mitigation, and regulatory matters• Develop and implement the company's legal and compliance framework aligned with business objectives• Provide guidance on corporate governance, policies, and best practices 2. Contract Management & Negotiation• Lead end-to-end management of customer and supplier contracts, including: Master Service Agreements (MSAs) Software Licensing Agreements RFPs, SOWs, NDAs• Front-end and lead customer-facing legal discussions and negotiations, especially for: Enterprise/MSA-level engagements Complex or non-standard contractual terms High-value or strategic deals• Partner closely with Sales and Business teams to: Enable faster deal closures while safeguarding legal interests Provide commercially pragmatic legal solutions Drive complex contract negotiations across multi-geo clients Establish standardized templates, playbooks, and negotiation frameworks 3.
Compliance & Risk Management• Design and implement a robust compliance and contract obligation management program• Ensure adherence to applicable laws, regulations, and internal policies• Identify, assess, and mitigate legal and regulatory risks 4. Team Leadership• Build, mentor, and lead a high-performing legal team• Allocate work, monitor performance, and ensure timely delivery of legal support• Foster a culture of accountability, collaboration, and continuous learning 5. Stakeholder Management• Partner with internal stakeholders (Sales, Delivery, Finance, HR, Purchase) to support business objectives• Act as a bridge between business and legal to enable faster decision-making• Conduct awareness sessions on legal risks and compliance obligations 6.
Labor Laws & Employment Legal MattersProvide guidance on applicable labor and employment laws, ensuring compliance across geographies Handle and advise on:• Employee disputes, disciplinary actions, and terminations• Labor complaints, notices, and regulatory interactions• Employment contracts, policies, and workplace compliance Support HR in:• Structuring policies aligned with legal requirements• Managing sensitive employee-related legal issues• Ensure readiness for and support during labor audits and inspections 7. Litigation & External Counsel Management• Manage litigation, disputes, and IP-related matters in coordination with external counsel• Oversee legal documentation and case strategy• Ensure cost-effective and timely resolution of legal matters 8.
