Job Description
A leading investment platform is seeking a tax attorney to support fund investments and related transactions. This role will serve as a key advisor on tax structuring, diligence, and documentation across private fund investments and strategic initiatives.
Key Responsibilities
Analyze tax considerations related to prospective fund investments and advise on structuring alternatives.
Review partnership agreements, subscription documents, and side letters to identify tax risks and negotiate appropriate protections.
Evaluate sponsor-provided tax materials and perform diligence on investment vehicles to assess potential exposure, including structural inefficiencies and tax leakage.
Provide practical guidance to investment and legal teams regarding tax implications of proposed transactions.
Coordinate with external tax advisors and oversee their work in connection with fund reviews and negotiations.
Partner with internal stakeholders and outside parties throughout the lifecycle of investments and closings.
Contribute to cross-functional initiatives and special projects as needed.
Qualifications
Active Pennsylvania Bar membership or ability to obtain in-house counsel licensure required.
Juris Doctor required; advanced tax degree (LLM or Master’s in Taxation) strongly preferred.
Experience in a law firm or corporate legal department, ideally supporting private funds or alternative investments.
Demonstrated knowledge of U.S. tax matters affecting investment vehicles; cross-border exposure is a plus.
Ability to operate independently, manage multiple transactions simultaneously, and communicate effectively with senior professionals and external stakeholders.
