Legal Transaction (Startup)

We are looking for an experienced Legal Operations professional to support the Fundraising and Investor Relations function. The role will involve managing legal documentation, supporting investment transactions, coordinating due diligence, and ensuring regulatory compliance throughout the fundraising lifecycle.

Key ResponsibilitiesManage and support legal documentationReview and advise on agreements such as Term Sheets, NDAs, Share Subscription Agreements (SSA), and Shareholders Agreements (SHA), and other material contractsSupport legal due diligence processes during fundraising rounds and investment transactionsCoordinate with external legal counsel and internal stakeholders for documentation and transaction executionMaintain and organize investor agreements, legal records, material contracts, and corporate documentationEnsure compliance with corporate laws and regulatory requirementsManage data room documentation and compliancesAssist in cap table management and ESOP documentation, shareholder resolutions, and board approvalsEnsure proper corporate governance documentation and regulatory filings

QualificationsLLB / LLM from a recognized university1- 3 years of experience in corporate legal, legal operations, or investment transaction support (fundraising experience will be preferred)Prior experience with startups, venture capital firms, private equity firms, or corporate law firms will be preferred.

Key Skills & CompetenciesCorporate Legal Documentation: Strong experience in drafting and reviewing complex corporate and investment documentation including Term Sheets, SSA, SHA, and NDAs.Fundraising & Investment Transactions: Hands-on exposure to legal aspects of venture capital or private equity fundraising transactions and investor documentation.Legal Due Diligence & Regulatory Compliance: Ability to manage legal due diligence processes and ensure compliance with applicable corporate and regulatory frameworks.Contract Negotiation & Review: Expertise in drafting, reviewing, and negotiating commercial agreements while aligning legal requirements with business objectives.Stakeholder & Investor Coordination: Proven ability to collaborate with founders, investors, external legal counsel, and internal teams during fundraising transactions.Data Room & Documentation Management: Experience in organizing investor data rooms and maintaining structured legal documentation for investment processes.

Candidates with experience in the startup ecosystem, venture capital transactions, or corporate law firms handling fundraising deals will be preferred.
