Job Description
Avaya is seeking a highly capable and business-oriented Corporate Counsel to join our International Legal Team.
This role is a unique blend of providing day-to-day legal support to the India business while actively driving cross-border strategic initiatives and international corporate projects. You will act as a trusted advisor, providing pragmatic, risk-based guidance across a broad range of legal areas.
Business Support - India & APAC
Serve as primary legal advisor to the India business, supporting commercial, operational, and regulatory mattersProvide legal support across APAC jurisdictions as needed, in coordination with regional counselAdvise on local regulatory frameworks, including telecommunications, data protection, employment, and sector-specific requirementsPartner closely with sales, services, and partner organizations to support revenue-generating activities while managing legal and compliance risks
Commercial Contracting & Transactions
Draft, review, and negotiate a broad range of agreements, including partner agreements, SaaS/cloud agreements, services agreements, NDAs, HR-related documents, and real estate agreementsAdapt and localize global contract templates to ensure compliance with Indian law and other applicable jurisdictionsSupport complex and strategic transactions, including multi-jurisdictional deals and outsourcing arrangementsManage internal approval processes, including preparation of deal summaries, coordination with stakeholders, and contract execution workflows
Corporate, Compliance & Governance
Support corporate governance activities for Indian and other APAC entities, including board and shareholder matters and maintenance of statutory recordsProvide guidance on compliance frameworks, internal policies, and ethical business conductAct as a data privacy point of contact, advising on data protection matters and supporting policy implementation and updates
Disputes & Risk Management
Manage disputes and pre-litigation matters in coordination with external counselProvide risk assessments and recommend mitigation strategies
International Projects & Global Initiatives
Actively support cross-border legal projects, including transformation initiatives, restructuring, and outsourcing programsCollaborate closely with EMEA legal teams, including availability to support EU time zone working hours where requiredContribute to the development and rollout of global legal standards, templates, and processes
Essential Qualifications -
Education: LL.B. or LL.M. from a premier law school.Experience: 7+ years of in-house legal experience, ideally within a global technology firm Technical Expertise: Proven experience in Contract Life Cycle Management, Data Privacy (GDPR/DPDP), and IPR clauses.Communication: Ability to navigate a multi-stakeholder environment and communicate effectively with Executive Management and Operations.
