Senior Finance Associate Attorney or Counsel
Location: Boston, MA
Direct Counsel is seeking a Senior Finance Associate Attorney or Counsel to join the Global Finance practice of a premier Am Law firm in Boston. This is an exceptional opportunity to work at the forefront of private credit, fund finance, collateralized loan obligations (CLOs), and structured credit transactions. The practice represents many of the world's leading asset managers, direct lenders, private equity sponsors, and institutional investors in sophisticated financing matters.
The ideal candidate will have 6+ years of finance experience with substantial experience independently managing complex financing transactions. Candidates with experience in private credit, fund finance, CLOs, asset-based lending, or other structured finance products are strongly encouraged to apply.
Responsibilities- Represent borrowers, lenders, private equity sponsors, agents, asset managers, and other financial institutions in sophisticated financing transactions.
- Structure, negotiate, and document complex private credit, fund finance, CLO, asset-based lending, and structured credit transactions.
- Independently manage negotiations and serve as a key member of transaction teams from due diligence through closing.
- Draft and negotiate credit agreements, security documents, financing agreements, and related transaction documentation.
- Advise clients on innovative financing structures and evolving market developments across private credit and structured finance.
- Collaborate with attorneys across the Global Finance practice to deliver strategic, business-focused legal solutions for complex financing matters.
- Build and maintain strong client relationships while managing multiple high-value transactions simultaneously.
- J.D. from an accredited law school with strong academic credentials.
- 6+ years of experience in finance transactions at a law firm.
- Significant experience representing borrowers, lenders, private equity sponsors, agents, or other financial institutions in complex finance transactions.
- Demonstrated ability to independently manage sophisticated financing transactions from due diligence through closing.
- Experience with any combination of private credit, collateralized loan obligations (CLOs), fund finance, NAV-based facilities, subscription line credit facilities, or asset-based lending is strongly preferred.
- Excellent drafting, negotiation, analytical, and communication skills.
- Active bar admission, or eligibility for admission, in Massachusetts.
- Salary: Starting at $390,000, with compensation commensurate with class year and experience.
