Job Description
We are looking for Qualified Company Secretary (ACS/FCS); LLB preferred with 8–10 years, spanning secretarial functions and hands- on experience with compliance management/tracking tools.
Key responsibilities:
A. Secretarial & Regulatory Compliance
• Ensure timely and accurate compliance with the Companies Act, FEMA–FDI/FOCC, downstream investment norms, and Depository Laws; track and manage limits prescribed under various sections of the Companies Act, including Related Party Transactions.
• Manage fund-raising related secretarial compliance including NCDs, CCPS and equity infusion; independently handle ongoing compliance under debenture trust deeds and coordinate with debenture trustees, RTAs and lenders.
• Handle MCA filings (XBRL and PDF forms), maintain the cap table, and maintain statutory registers, minute books and other records in both electronic and physical form.
• Manage and support Board, Committee and Shareholder Meetings — preparation of agendas, notices, resolutions and minutes; drive Action Taken Reports (ATRs) and the annual Board Report.
• Drive the AGM/EGM lifecycle including notices, explanatory statements proceedings, postal ballot and e-voting processes, and coordination with RTA and scrutinizers.
• Administer ESOP compliance end-to-end — grant, vesting and exercise across group companies — including cap table updation, trust/SEBI filings and disclosures under the SBEB Regulations.
• Manage corporate actions (allotments, bonus/rights, transmission, etc.) and related filings, intimations and RTA coordination.
• Own weekly Benpos tracking, NBFC/CIC classification checks, and monitoring of investor/shareholder queries within the 24-hour TAT, in coordination with the RTA.
• Drive secretarial audit, Directors' KYC/evaluation processes, and coordinate governance assurance activities including preparation of the Annual Report.
• Prepare and file DI, FLA and other annual regulatory certificates/returns; support other statutory ROC filings (annual and event-based).
• Liaise with SEBI, ROC, RBI, Authorised Dealer (AD) Banks, Stock Exchanges and other statutory authorities for approvals, filings, audits and inspections.
• Support implementation, review and amendment of internal compliance frameworks and policies under the Companies Act and SEBI Regulations (e.g. PIT Code, Contra Trade Policy).
• Coordinate with RTA, statutory/secretarial auditors, legal counsel and cross- functional internal teams (Finance, Legal, Compliance) on an ongoing basis.
• Provide sound legal and strategic advice to internal stakeholders and ensure regulatory updates are tracked, actioned and communicated across the organisation.
B. Compliance Tool Implementation & Administration
• Serve as the primary point of contact for the third-party compliance management tool vendor; lead requirement gathering, configuration, testing, migration and user acceptance for ongoing rollout across group entities.
• Act as internal system administrator — manage user access, roles and permissions, changes to users/compliances, and periodic system audits; ensure data integrity and timely upload of compliance tasks.
• Track all regulatory, statutory and internal compliance requirements through the tool, ensuring timely reminders, escalations and closure.
• Generate dashboards, exception reports and compliance status updates for management and Board-level reporting; monitor adherence to compliance calendars and workflows configured in the system.
• Troubleshoot system issues and coordinate with vendor support for resolution; conduct training sessions for internal users and prepare SOPs/user manuals/quick-reference guides.
• Identify opportunities to automate and digitization tasks and enhance tool workflows/reporting, and work with the vendor to implement upgrades in line with evolving regulatory requirements.
Required Qualifications & Skills:
• Qualified Company Secretary (ACS/FCS) with LLB.
• 8–10 years of relevant post-qualification experience in the Secretarial/Compliance function of a widely held company, with hands-on exposure to digitisation, automation or implementation of compliance management systems.
• Strong working knowledge of the Corporate Laws and hands-on experience with compliance management/tracking tools; prior experience administering or implementing a compliance software platform strongly preferred.
