Job Summary
We are seeking a qualified and experienced Company Secretary (CS) to join our team at our Head Office in Worli. The ideal candidate should possess strong knowledge of corporate laws and regulatory compliances, excellent drafting and communication skills, and hands-on experience in handling secretarial and compliance matters. Prior experience in a Practicing Company Secretary (PCS) firm will be preferred.
Key Responsibilities
Ensure compliance with the provisions of the Companies Act, 2013 and applicable rules.
Handle secretarial compliances for listed companies, including compliance under SEBI (LODR) Regulations.
Manage FEMA-related compliances and regulatory filings.
Prepare and maintain statutory registers, records, minutes, and resolutions.
Draft notices, agendas, board and committee meeting minutes, and shareholder resolutions.
Coordinate and facilitate Board Meetings, Committee Meetings, and General Meetings.
Liaise with regulatory authorities such as ROC, SEBI, Stock Exchanges, and other statutory bodies.
Ensure timely filing of statutory forms, returns, and disclosures.
Provide legal and corporate governance support to management.
Monitor changes in applicable laws and advise management on compliance requirements.
Assist in due diligence, corporate restructuring, and other secretarial assignments as required.
Qualifications & Experience :
-Qualified Company Secretary (Member of ICSI).
-Minimum 3 years of post-qualification experience, preferably with a Practicing Company Secretary (PCS) firm.
Strong working knowledge of:
Companies Act, 2013
SEBI (Listing Obligations and Disclosure Requirements) Regulations
FEMA compliances
Corporate governance and secretarial practices
LL.B. qualification will be an added advantage.
Required Skills

Ability to manage multiple assignments and meet statutory deadlines.
Proficiency in MS Office and secretarial compliance tools.

Preferred Candidate Profile
Candidate based in Mumbai or nearby locations.
Willing to work from the Head Office at Worli.
Experience in handling listed company compliances will be preferred.
