Job Description
Job Summary
We are seeking a qualified and detail-oriented Company Secretary with 2–4 years of post-qualification experience to join our team. The ideal candidate should have hands-on experience working with a listed company and possess strong knowledge of corporate laws, SEBI regulations, and stock exchange compliance. This role requires excellent organizational skills, the ability to manage multiple statutory responsibilities, and a proactive approach to corporate governance.
Key Responsibilities
- Ensure compliance with the Companies Act, 2013, SEBI (LODR) Regulations, SEBI PIT Regulations, and other applicable corporate laws.
- Manage all listing-related compliances, including timely submissions to stock exchanges (NSE/BSE), SEBI, and other regulatory authorities.
- Coordinate and prepare agendas, notices, board papers, minutes, and resolutions for Board, Committee, and Shareholders' meetings.
- Maintain statutory registers, records, and filings with the Registrar of Companies (ROC) and other regulatory authorities.
- Handle corporate actions such as dividend declarations, bonus issues, rights issues, preferential allotments, buybacks, ESOPs, and related compliances, where applicable.
- Ensure compliance with insider trading regulations, including maintenance of structured digital databases, trading window management, disclosures, and periodic filings.
- Coordinate with Registrar & Share Transfer Agent (RTA), stock exchanges, depositories, auditors, legal advisors, and regulatory authorities.
- Draft and review corporate governance policies, disclosures, and reports for the Annual Report.
- Support secretarial audits, statutory audits, internal audits, and due diligence activities.
- Monitor changes in regulatory requirements and advise management on compliance implications.
- Assist in implementing and strengthening corporate governance frameworks and internal compliance processes.
Required Qualifications
- Qualified Company Secretary (ACS) and a member of the Institute of Company Secretaries of India (ICSI).
- 2–4 years of relevant post-qualification experience in a listed company or a listed entity.
- Experience handling end-to-end secretarial and listing compliances independently.
Required Skills & Knowledge
- Strong working knowledge of the Companies Act, 2013 and related rules.
- Excellent understanding of SEBI (LODR) Regulations, SEBI PIT Regulations, SEBI ICDR Regulations, and other applicable SEBI regulations.
- Practical experience with stock exchange filings (NSE/BSE), MCA filings, and ROC compliance.
- Sound understanding of corporate governance principles and board processes.
- Familiarity with corporate actions and regulatory reporting requirements.
- Proficiency in secretarial compliance tools and the MCA, NSE, and BSE portals.
- Excellent drafting, documentation, communication, and stakeholder management skills.
- High attention to detail, integrity, confidentiality, and the ability to work under strict regulatory timelines.
Preferred Candidate Profile
- Experience in a listed organization is mandatory.
- Exposure to investor relations and corporate restructuring will be an added advantage.
- Strong analytical, problem-solving, and interpersonal skills.
- Ability to work independently while collaborating effectively with senior management and cross-functional teams.
