Job Description
Job Summary
We are looking for a dynamic and detail-oriented Company Secretary to join our Secretarial Audit team. The candidate will be responsible for conducting secretarial audits, ensuring compliance with corporate laws and regulations, assisting clients with governance matters, and supporting various secretarial assignments.
Key Responsibilities
Conduct Secretarial Audits in accordance with the provisions of the Companies Act, 2013.
Draft Secretarial Audit Reports (Form MR-3) and Annual Secretarial Compliance Reports.
Ensure compliance with the Companies Act, 2013, SEBI Regulations, FEMA, and other applicable corporate laws.
Prepare and review notices, agendas, minutes, resolutions, and other secretarial documents.
Conduct due diligence and compliance audits for clients.
Handle ROC filings, MCA compliances, and statutory filings.
Assist in Board Meetings, Committee Meetings, and General Meetings.
Prepare compliance checklists and maintain statutory registers.
Liaise with clients, regulatory authorities, and internal teams.
Research amendments in corporate laws and advise clients on regulatory changes.
Support the team in corporate restructuring, due diligence, and other secretarial assignments.
Required Skills
Strong knowledge of the Companies Act, 2013.
Good understanding of SEBI (LODR), PIT Regulations, and Secretarial Standards.
Working knowledge of FEMA and corporate governance practices.
Excellent drafting and documentation skills.
Strong analytical and problem-solving abilities.
Good communication and client management skills.
Ability to work independently and manage multiple assignments.
Preferred Candidate Profile
Qualified Company Secretary (ICSI Member).
post-qualification experience in Secretarial Audit or Corporate Secretarial functions.
Experience in handling listed company compliances
Proficient in MS Office, MCA Portal, and compliance management tool
